1Introduction

By creating an account, accessing, or using the Sitewagon Services, you enter into a contract with GOLDENROCK MONTENEGRO DOO ("GOLDENROCK MONTENEGRO DOO", "Company", "we", "our", "us"). GOLDENROCK MONTENEGRO DOO is the contractual partner providing the Services, issuing invoices, and handling billing, support, and account management related to Sitewagon.

References in these Terms to "Sitewagon" or the "Service" describe the platform and tools you use, while references to "GOLDENROCK MONTENEGRO DOO" identify the legal entity with whom you are entering into this agreement.

3Use of Our Services

You agree to use our Services in compliance with all applicable laws and regulations. You are responsible for providing accurate and complete information required for the provision of our Services and for keeping your information up to date.

You agree not to use the Services for any unlawful, harmful, or prohibited purpose. This includes, without limitation, using the Services to host or distribute illegal content, infringe intellectual property, violate privacy or data protection laws, or engage in fraud, abuse, or any activity that could damage our infrastructure or reputation.

Upon full payment of all applicable fees, we grant you a worldwide, royalty-free, non-exclusive license to use the final website or project output for your business or personal use, subject to these Terms and any specific usage limitations set out in your plan.

• You retain all ownership rights to your Client Content, including any text, images, logos, or other materials you provide to us, provided you have the legal right to use such content.
• You may not copy, modify, reverse engineer, distribute, or create derivative works of the Sitewagon platform, templates, or underlying software except as expressly permitted by law.
• We may display anonymized or non-confidential examples of work created using the Services for marketing or portfolio purposes, unless you explicitly request otherwise in writing where applicable.

6Client Responsibilities & Acceptable Content

As a client, you are responsible for providing all necessary content, images, and information in a timely manner. Delays in providing these materials may result in project delays or impact delivery timelines.

• ⚠You confirm that you have the legal rights (licenses, permissions, or ownership) to all content you provide to us or upload using the Services.
• ⚠You must not use the Services to host, share, or promote content that is illegal, harmful, defamatory, hateful, misleading, or otherwise inappropriate.
• ⚠You are solely responsible for complying with any laws that apply to your website or project, including consumer protection, e-commerce, data protection, and tax regulations.

7Payment Terms & Billing

Fees for our Services will be outlined in a separate pricing page, subscription plan, proposal, or agreement. Unless otherwise stated, fees are charged in the currency displayed during checkout, and all amounts are exclusive of any applicable taxes, duties, or charges.

• We may require upfront payment, deposits, or recurring subscription charges, which will be processed by GOLDENROCK MONTENEGRO DOO or its appointed payment processors.
• You authorize us and our payment processors to charge your selected payment method for all applicable fees on the billing schedule associated with your plan.
• If a payment cannot be collected (for example, due to expiration, insufficient funds, or disputes), we may suspend or limit your access to the Services until the outstanding amount is settled.

Unless otherwise stated in our Refund Policy or required by applicable law, all payments are non-refundable. For details on when refunds may be available (for example, in connection with a money-back guarantee), please refer to our separate Refund Policy published on the Sitewagon website.

8Data Protection & Privacy

We process personal data in accordance with our Privacy Policy, which describes how we collect, use, share, and protect your information. By using the Services, you acknowledge that your personal data will be handled as described in our Privacy Policy.

If you collect or process personal data of your own users or customers through websites or projects built with Sitewagon, you are solely responsible for complying with applicable data protection laws (such as providing appropriate privacy notices, obtaining consent where required, and honoring data subject rights).

9Confidentiality

Both you and GOLDENROCK MONTENEGRO DOO agree to keep confidential any non-public information received from the other party that is marked as confidential or would reasonably be considered confidential by its nature.

Confidential information may be used only for the purpose of performing or receiving the Services and must not be disclosed to third parties except to professional advisers or service providers who are bound by confidentiality obligations, or as required by law or regulatory authorities.

10Limitation of Liability

To the fullest extent permitted by law, GOLDENROCK MONTENEGRO DOO and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, whether incurred directly or indirectly, resulting from your use of or inability to use the Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall be limited to the amount actually paid by you to GOLDENROCK MONTENEGRO DOO for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, unless a different mandatory limit is set by applicable law.

11Term & Termination

These Terms remain in effect for as long as you use the Services or until your account is closed, whichever is later. Either party may terminate the service agreement by providing written notice if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period after being notified.

• We may suspend or terminate your access to the Services immediately if we reasonably believe that your use is unlawful, abusive, or poses a security or legal risk to us or to others.
• Upon termination, you remain responsible for paying all fees owed for Services provided up to the effective date of termination.
• We are not obligated to maintain or store your content after termination, except where required by law. You are responsible for exporting any data or content you wish to keep before closure, where such export features are available.

12Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GOLDENROCK MONTENEGRO DOO is registered, without regard to its conflict of law provisions.

Where permitted by law, any disputes arising out of or in connection with these Terms or the Services shall be subject to the jurisdiction of the courts located in the same jurisdiction, unless consumer protection laws grant you the right to bring claims in your country of residence.

13Changes to These Terms

We may update or modify these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we do so, we will post the updated Terms on the Sitewagon website and update the "Last Updated" date at the top of this page.

Where required by law or where changes are material, we may also provide additional notice (for example, by email, in-app notification, or prominent notice on our website). Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
